Eligibility to Use Our Services

Account Requirements

Users must provide accurate and current information for their accounts to ensure effective service delivery.

Account holders are responsible for maintaining the confidentiality of login details and for all activities occurring under their account.

Accounts are personal and non-transferable without prior written approval from Teralyn.

In the event of unauthorized access, users should notify Teralyn immediately for appropriate action.

Teralyn reserves the right to suspend or terminate accounts violating these terms or engaging in harmful activities.

Service Description

Teralyn provides professional leadership advisory and strategic performance mentoring, focusing on practical development aligned with client objectives.

We may modify service features or availability to improve effectiveness or comply with new standards, notifying clients as appropriate.

While we strive for continuous availability, temporary interruptions may occur due to maintenance or unforeseen circumstances.

User Conduct Rules

Users agree to abide by accepted standards of conduct while using Teralyn services to maintain a professional environment.

  • Respect all consultants, mentors, and fellow clients by engaging respectfully and professionally.
  • Do not attempt to disrupt services or access unauthorized areas of the platform.
  • Submit only truthful and authorized information in all communications and content shared.
  • Refrain from sharing content that is offensive, discriminatory, or violates third-party rights.
  • Comply with all applicable intellectual property laws in your interactions.
  • Avoid use of the platform for unlawful activities or to promote illegal conduct.
  • Report any security issues or suspicious activity promptly to maintain service integrity.

User Provided Content

Clients may submit information or materials during their engagement with Teralyn as part of the mentorship process.

Ownership of user-submitted content remains with the user; however, granting Teralyn a license to utilize such content is necessary for service delivery.

Users grant Teralyn a worldwide, non-exclusive license to use, reproduce, and display submitted content solely for mentorship and advisory purposes.

Clients are solely responsible for the content they provide and must ensure compliance with all relevant laws and policies.

Teralyn reserves the right to remove any user content that violates terms or is deemed inappropriate without prior notice.

Intellectual Property Rights

All intellectual property rights in Teralyn’s materials and methodologies remain with Teralyn or its licensors.

  • Users shall not copy, modify, or create derivative works from Teralyn’s intellectual property without explicit permission.
  • Reverse engineering or decompiling any software or proprietary material is prohibited.
  • Unauthorized use of activity, logos, or service marks is not allowed.

Paid Services Terms

Certain mentorship programs and consulting packages offered by Teralyn require fee payment under specific terms.

Prices for services are detailed on the Teralyn website and are subject to change with prior notice.

Payments must be completed using accepted methods before service activation, unless otherwise agreed.

Subscription services will renew automatically unless cancelled by the client in accordance with cancellation policies.

Refunds are limited and considered on a case-by-case basis aligned with service engagement terms.

Clients may cancel paid services following the procedures outlined in their service agreement or subscription terms.

Applicable taxes may be added to the service fees based on Japanese tax regulations.

Teralyn may revise service pricing; existing clients will be informed prior to implementation of new rates.

Failure to pay fees may result in suspension or termination of services until balances are settled.

Disclaimer of Warranties

Teralyn provides services based on best practices and experience but does not assure specific business or organizational outcomes.

Limitation of Liability

Liability for damages arising from service use is limited to the amount paid by the client within the last 12 months of engagement.

Third Party Services

Links to third-party resources are provided for convenience; Teralyn holds no responsibility for their content or services.

Termination of Services

Either party may terminate service agreements per terms outlined, with obligations for final payments and confidentiality surviving termination.

Upon termination, clients will lose access to paid services and proprietary materials unless otherwise agreed.

Privacy Policy

Handling of personal data is governed by our Privacy Policy, ensuring compliance with Japan's data protection laws.

Communications

Electronic communications are considered valid and binding under these terms once sent to the contact details provided by either party.

Changes to Terms

Teralyn reserves the right to update these terms, with updates communicated via the website or direct client notifications.

Governing Law

These Terms are governed by the laws of Japan, and any disputes shall be resolved within its jurisdiction.

Dispute Resolution

Disputes will first be attempted to resolve through mediation; if unsuccessful, they may proceed to binding arbitration or court.
